Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using JustCC, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

JustCC provides an AI-powered scheduling assistant called "Ari." The Service works as follows:

• You CC ari@justcc.to on email conversations that involve scheduling a meeting.
• Ari reads the email thread to understand scheduling intent, participants, and preferred times.
• Ari checks your connected calendar(s) for availability and proposes suitable meeting times.
• Once confirmed, Ari creates calendar events and optionally sets up video conferencing (e.g., Zoom).
• Ari can also reschedule and cancel meetings on your behalf.

The Service requires you to connect at least one calendar account (Google Calendar or Microsoft Outlook) and relies on email communication to operate.

3. User Accounts and Responsibilities

3.1 Account Creation

To use JustCC, you must create an account with a valid email address and password. You must provide accurate and complete information during registration and keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at hello@justcc.to if you suspect unauthorized access to your account.

3.3 Calendar Permissions

By connecting your Google, Microsoft, or Zoom account, you grant JustCC permission to access your calendar data and manage events on your behalf. You can revoke these permissions at any time through your account settings or through the third-party provider directly.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send unsolicited bulk email (spam) or use the Service for mass email campaigns
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected third-party services
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in any way that could harm, overburden, or impair our infrastructure
• Transmit any malicious code, viruses, or harmful content
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity
• Use the Service to schedule meetings for fraudulent, deceptive, or illegal purposes

We reserve the right to suspend or terminate accounts that violate these acceptable use provisions.

5. Third-Party Integrations

JustCC integrates with third-party services including Google Calendar, Microsoft Graph (Outlook), Zoom, Anthropic (AI processing), Resend (email delivery), Cloudflare (security), and Stripe (payments). Your use of these integrations is subject to the following:

• Each third-party service has its own terms of service and privacy policy that you should review.
• We are not responsible for the availability, accuracy, or conduct of any third-party service.
• Changes to third-party APIs or services may affect the functionality of JustCC. We will make reasonable efforts to maintain compatibility but cannot guarantee uninterrupted integration.
• You are responsible for complying with the terms of any third-party service you connect to JustCC.

6. AI-Generated Actions

JustCC uses artificial intelligence to interpret scheduling requests and take actions on your behalf. You acknowledge and agree that:

• AI interpretation of email content may not always be perfectly accurate. Ari may occasionally misunderstand scheduling intent, propose incorrect times, or misidentify participants.
• You are responsible for reviewing and confirming meetings created by Ari before they are finalized.
• JustCC is not liable for any scheduling errors, missed meetings, or conflicts that result from AI-generated actions.
• The AI does not provide advice, make decisions beyond scheduling, or take any action outside the scope of calendar and meeting management.

7. Intellectual Property

The JustCC Service, including its software, design, logos, and content (excluding your user data), is owned by JustCC and is protected by applicable intellectual property laws.

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
• You retain full ownership of your data, including your emails, calendar events, and any content you provide to the Service.
• You grant us a limited license to process your data solely for the purpose of providing the Service.
• You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Fees and Payment

JustCC may offer free and paid plans. If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Payments are processed by Stripe. We reserve the right to change our pricing with reasonable notice. If you do not agree to a price change, you may cancel your subscription before the next billing cycle.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, timely, secure, or error-free
• That the results obtained from using the Service will be accurate or reliable
• That any errors in the Service will be corrected

You use the Service at your own risk. No advice or information obtained from JustCC shall create any warranty not expressly stated in these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JUSTCC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from missed meetings, scheduling errors, or calendar conflicts
• Any damages arising from unauthorized access to or alteration of your data
• Any damages arising from the conduct or content of any third party using the Service

In no event shall our total liability to you for all claims arising from or related to the Service exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless JustCC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

12.1 Termination by You

You may stop using the Service and delete your account at any time through your account settings. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

12.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, abusive behavior, or extended periods of inactivity.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or through a notice in the application. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, and the arbitrator's decision shall be final and binding.

15. General Provisions

• Entire Agreement - These Terms, together with our Privacy Policy, constitute the entire agreement between you and JustCC regarding the Service.
• Severability - If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver - Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
• Assignment - You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure - We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
